This Risk Disclaimer applies to all products and services provided by Dexima Software LLC (“Dexima”, “we”, “our”, “us”) and must be read in conjunction with our Terms of Service and Privacy Policy.

Dexima Software LLC provides software tools and trading automation solutions only and does not act as a broker, dealer, exchange, investment advisor, portfolio manager, or financial intermediary in any jurisdiction.

General Risk Disclosure (Applicable to All Users)

Trading in financial instruments, including but not limited to cryptocurrencies, spot markets, futures, options, forex, commodities, and OTC derivatives, involves a high level of risk and may not be suitable for all users.

You acknowledge and agree that:

  • Trading can result in the loss of part or all of your invested capital.
  • Past performance is not indicative of future results.
  • No trading strategy, algorithm, or software can eliminate risk or guarantee profits.
  • You are solely responsible for all trading decisions and outcomes.

Automated Trading & Software Risk

Dexima develops and distributes algorithmic and automated trading software that executes trades based on user-defined parameters.

Automated trading involves additional risks, including but not limited to:

  • system or software failures,
  • API or connectivity issues,
  • exchange outages or maintenance,
  • incorrect configuration by the user,
  • unexpected market volatility or illiquidity.

All use of automated systems is entirely at your own risk.

No Custody, No Fund Control

Dexima Software LLC:

  • does not hold, manage, or custody user funds,
  • does not have access to user accounts on exchanges or brokers,
  • does not have access to user accounts on exchanges or brokers,
  • does not execute trades on behalf of users.

All trading activities occur directly on third-party platforms selected by the user.

Third-Party Platforms & Market Data

Dexima is not responsible for:

  • pricing, liquidity, execution quality, or order routing,
  • market data accuracy or delays,
  • slippage, rejected orders, or partial fills,
  • actions, failures, or insolvency of third-party platforms.

Use of third-party services is governed by their own terms and conditions.

Billing & Subscription Risks

You acknowledge and agree that:

  • All subscription fees paid to Dexima Software LLC are non-refundable.
  • Unused subscription time or unused service quotas (optimizations/backtests) have no cash value and cannot be exchanged for currency.
  • Users are responsible for managing their subscription renewals and cancellations before the billing date.

Jurisdictional Disclosures

🇪🇺 European Union (EU) Disclosure

Dexima Software LLC is not authorized or regulated by the European Securities and Markets Authority (ESMA), any National Competent Authority (NCA), or any other EU financial regulator.

Nothing provided by Dexima constitutes:

  • investment advice under Directive 2014/65/EU (MiFID II),
  • portfolio management or investment services,
  • a recommendation or solicitation to engage in financial transactions.

OTC derivatives, CFDs, leveraged crypto products, and similar instruments may not be suitable for retail clients under EU law. You acknowledge that you are acting on your own initiative.

  • technical failures or third-party platform issues.

You agree to indemnify and hold Dexima Software LLC harmless from any claims arising from your use of the products.
